1.Acceptance of these Terms
These Terms of Service ("Terms") govern your access to and use of CaseAlly (the "Service"), a product of Saint Michael Ventures LLC("we", "us"). By creating an account or using the Service, you agree to be bound by these Terms, our Privacy Policy, and our Legal Disclaimer. If you do not agree, do not use the Service.
2.Service Description
CaseAlly is an AI-powered legal analysis tool purpose-built for North Carolina family law. The Service analyzes court orders, transcripts, and communications that you upload to identify findings, contradictions, appeal issues, and constitutional concerns with source citations.
CaseAlly is not a law firm and does not provide legal advice. Your use of the Service does not create an attorney-client relationship between you and Saint Michael Ventures LLC or anyone associated with CaseAlly.
3.Account Terms
- You must be at least 18 years old and able to form a binding contract in your jurisdiction.
- You must provide accurate, current, and complete information during registration and keep it up to date.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access.
- One person or legal entity per account. Sharing credentials is prohibited.
4.Acceptable Use
- Do not upload content you do not have a lawful right to use, or content subject to a seal, protective order, or privilege you are not permitted to share.
- Do not use the Service to harass, defame, or harm any person, to bypass security controls, or to train third-party models on non-public content.
- Do not reverse engineer, decompile, or attempt to derive source code from the Service except to the extent expressly permitted by law.
- Do not scrape, crawl, or use automated agents against the Service except through documented APIs and within published rate limits.
- Do not upload malware, viruses, or content designed to damage the Service or other users.
5.Subscriptions, Usage, and Billing
Access to the Service is provided via paid subscription plans. Payment is processed by Stripe. By subscribing, you authorize us and Stripe to charge the payment method on file.
Auto-renewal. Monthly and annual plans renew automatically at the end of each billing period. You can cancel at any time from Settings, Billing; cancellation stops future renewals but does not refund the current period.
Price changes.We may change prices with at least 30 days' advance notice, sent by email and posted in-product. Price changes take effect at your next renewal; if you do not accept the change, cancel before the renewal date.
Refunds. Annual plans may be refunded on a prorated basis within the first 30 days of the annual term. Monthly plans are non-refundable. Except as required by applicable law, all fees are otherwise non-refundable.
Usage metering. Page counts, analyses, and AI credits are tracked as described on the pricing page. Plan limits apply; overages may pause feature access until the next billing period or until you upgrade.
6.Intellectual Property
Your content. You retain all rights in the documents, inputs, and outputs you create within the Service. You grant us a limited, non-exclusive, worldwide license to process your data solely to operate and improve the Service, including routing your requests through AI subprocessors under contracts that prohibit training on your content.
Our platform. The Service, including its software, design, prompt engineering, models, and trademarks, is owned by Saint Michael Ventures LLC and its licensors. These Terms do not grant you any rights in the Service except the limited right to use it as authorized.
Feedback. Any feedback, suggestions, or ideas you submit about the Service are freely assignable to us without compensation.
7.AI-Generated Content Disclaimer
Analysis and suggestions generated by CaseAlly's AI are informational tools intended to assist legal professionals and self-represented litigants. They are not legal advice, legal opinions, or guarantees of legal outcomes. AI can misread documents, misattribute quotations, or produce citations that do not exist. You are solely responsible for verifying every AI-generated finding, citation, and recommendation against the underlying source documents and against current law before relying on it in any filing, hearing, negotiation, or other legal proceeding.
8.Confidentiality and Data Handling
We handle your content with reasonable commercial care. We do not sell your content. Subprocessors access content only as needed to deliver the Service. Row-Level Security enforces tenant isolation in our database; all traffic is served over TLS; data is encrypted at rest.

9.Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUTPUTS WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR USE, INCLUDING FILING, ADVOCACY, OR COURT PROCEEDINGS. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION.
10.Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF SAINT MICHAEL VENTURES LLC FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE AMOUNTS PAID TO US BY YOU IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING (BUT NOT LIMITED TO) LOST PROFITS, LOST REVENUE, LOST DATA, LEGAL OUTCOMES, DECISIONS MADE IN RELIANCE ON AI OUTPUT, OR ERRORS IN AI OUTPUT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.Indemnification
You will indemnify, defend, and hold harmless Saint Michael Ventures LLC and its officers, employees, and contractors from and against any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your reliance on any AI-generated output, (c) your violation of these Terms, (d) your violation of any law or of any third party's rights, or (e) content you upload that you did not have the right to share.
12.Arbitration and Class Action Waiver
Binding arbitration.Any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. Arbitration will be conducted in Wake County, North Carolina, or by videoconference at the arbitrator's discretion. Judgment on the award may be entered in any court of competent jurisdiction.
Small claims exception. Either party may bring an individual action in small claims court if the matter qualifies, in lieu of arbitration.
No class actions. You and Saint Michael Ventures LLC each agree that disputes will be resolved only on an individual basis. Neither party may participate in a class, consolidated, or representative proceeding; arbitrators may not consolidate claims or preside over any form of representative or class proceeding.
30-day opt-out. You may opt out of this arbitration agreement by emailing hello@caseally.lawwith the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms. Opting out does not affect any other provision of these Terms.
13.Termination
You may cancel your subscription at any time from Settings, Billing. You may delete your account and data at any time from Settings, Data Retention.
We may suspend or terminate access for material breach, unlawful use, non-payment, or to protect other users or the Service. Upon termination by either party, you will retain read-only access to export your data for 30 days; after that window, your data is subject to the deletion schedule in our Privacy Policy.
14.Changes to these Terms
We may update these Terms from time to time. For material changes we will provide at least 30 days' advance notice by email and in-product notice. Your continued use after the effective date means you accept the updated Terms. Non-material edits (typos, clarifications) may take effect immediately.
15.Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-laws principles. Any action not subject to arbitration will be brought exclusively in the state or federal courts located in Wake County, North Carolina, and you consent to personal jurisdiction and venue in those courts.
